1. Acceptance of Terms

By accessing or using Direct Academy Services, you agree to be bound by these Terms of Services. If you disagree with any part, you must not use the Services.

2. Eligibility

You must be at least 18 years old. By agreeing, you represent that you have legal capacity to enter into these Terms.

3. User Accounts

• You are responsible for safeguarding your password and account.
• You are responsible for all activity under your account.
• You must notify us immediately of any unauthorized use.

4. Course Enrolment & Content Usage

• You may enrol in courses, access content, complete assessments, and receive certificates subject to your compliance here.
• Course content, materials, and intellectual property are owned by us or licensors.
• You may not reproduce, distribute, modify, publicly display, or create derivative works from content except as expressly permitted.
• You may not circumvent or disable any technological measures within the Service.

5. Refund Policy

At Direct Academy, we are committed to delivering high-quality educational content and professional development experiences. Please read this Refund Policy carefully before making a purchase.

Digital Products and Online Courses
All purchases of digital products, including online courses and subscriptions, are non-refundable once access has been granted or materials have been downloaded. This is due to the nature of digital content, which cannot be returned once accessed.

Exceptional Circumstances
Refunds may only be considered in the following limited cases:
• Duplicate payment: If you were charged more than once for the same product.
• Technical issues: If you were unable to access the course due to a verified technical error on our platform, and our support team is unable to resolve the issue.
In such cases, you must submit a written request to info@directacademypro.com within 7 calendar days of purchase, along with proof of payment and details of the issue.

No Refunds for the Following
Refunds will not be issued for:
• Change of mind after purchase.
• Failure to complete or use the course or subscription.
• Issues related to device compatibility if minimum system requirements were met.
• Delays or interruptions caused by internet connectivity or third-party service providers.

Course Substitutions or Enrolment Credits
At our sole discretion, and as an alternative to a refund, we may offer course credits or allow substitution with another course of equal or lesser value. Such substitutions are not guaranteed and are granted on a case-by-case basis.

Processing of Approved Refunds
If a refund request is approved, the amount will be returned to the original payment method within 14–30 business days, depending on your bank or payment provider.

6. Payment, Refunds & Fees

• Payment for courses or subscriptions must be made through permitted payment methods.
• Prices are stated in US dollars.
• Refunds, if any, are subject to our Refund Policy.
• We reserve the right to suspend services for nonpayment.

7. Intellectual Property Rights

• All trademarks, logos, course content, and software in the Service are our property or that of Direct Academy.
• You are granted a limited, non-exclusive, non-transferable license to access and use the Service for lawful learning purposes.

8. User Conduct

You agree not to:
• Violate applicable laws or rights of others.
• Infringe copyrights or intellectual property.
• Post harmful, defamatory, obscene, or illegal content.
• Interfere with the operation or security of the Service.
• Use automated systems (bots, scrapers) to access the Service.
We reserve rights to suspend or terminate accounts that violate these Terms.

9. Disclaimers & Limitation of Liability

• The Service is provided and available without warranties.
• We do not guarantee that the Service will be uninterrupted, error-free, or secure.
• To the maximum extent permitted by law, we disclaim liability for indirect, incidental, special, or consequential damages.
• Our maximum liability (to the extent permitted by law) shall not exceed the total amount you have paid.

10. Indemnification

You agree to indemnify and hold harmless Direct Academy, its employees, agents, and affiliates from any claims, liabilities, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

11. Termination

• We may suspend or terminate your access immediately for violations.
• You may also terminate your account at any time.
• Upon termination, your rights to access content cease.
• We may retain certain information for legal or business purposes (example: records of transactions).

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of Malaysia. Any dispute arising from these Terms or the use of our services shall first be addressed through good faith negotiations. If unresolved within 90 days, disputes shall fall under the exclusive jurisdiction of the Malaysian courts, or, at our discretion, be resolved by arbitration in Kuala Lumpur under the AIAC rules.

13. Changes to Terms

We may update these Terms from time to time. If so, we will notify you and post the revised version. Continued use after changes constitutes acceptance.

14. Severability & Waiver

If any provision is invalid or unenforceable, it shall be severed, and the rest shall remain valid. Failure to enforce a provision does not waive that right.

15. Miscellaneous

• You may not assign or transfer your rights under these Terms without our consent.
• We may assign our rights.
